Official Rules

PROGRAM: The L'Oréal NEXT Generation Awards (the “Program”) begins at 12:00 AM Eastern Daylight Time (“EDT”) on May 1, 2019 and ends at 11:59 PM EDT on July 17, 2019 (“Program Period”). The Nomination Period begins at 12:00 AM EDT on May 1, 2019 and ends at 11:59 PM EDT on June 19, 2019 (“Nomination Period”). The Program consists of a Nomination Phase and two (2) Judging Phases. By participating, nominees agree to be bound by these Official Rules and the decisions of the judges and/or Sponsor, which are binding and final on all matters relating to this Program. Program is subject to all applicable federal, state and local laws.


ELIGIBILITY: Program is open to nominees who are legal female residents of the fifty (50) United States and the District of Columbia, 18 years of age or older at the time of Nomination who either own or are currently in a leadership position of a digital technology company. Nominators must be legal residents of the fifty (50) United States and the District of Columbia, 18 years of age or older at time of Nomination. It is recommended that nominators obtain the permission of a nominee prior to nominating them. Void where prohibited by law. Employees of L'Oréal USA, Inc. (“Sponsor”), and their subsidiaries, affiliates, promotion and advertising agencies, and members of their immediate family (spouse and parent, children and siblings and their respective spouses, regardless of where they reside and persons living in the same household, whether or not related, of such employees), are not eligible to enter or win. Potential nominees are subject to verification of eligibility and identity per these Official Rules, which may include a background check and completion of any documentation required by Sponsor to complete such background check, the results of which must be completely satisfactory as determined by Sponsor in its sole discretion.


HOW TO ENTER

Nomination Phase: Between 12:00 AM EDT on May 1, 2019 and 11:59 PM EDT on June 19, 2019 visit https://www.lorealwomenindigital.com and follow the directions provided to complete and submit the nomination form. Nominee must be a woman who either owns or holds a top leadership position and is an innovator in a ground-breaking company in the digital technology field (collectively, each, a “Nomination”). Women in leadership roles may self-nominate. All Nominations must be received by 11:59 PM EDT on June 19, 2019 to be eligible. Submission of erroneous or incomplete information will void the submitted.

Nominees may not have won or been awarded any previous awards from L’Oréal USA, and must not infringe upon the copyrights, trademarks, rights of privacy, publicity or other intellectual property or other rights of any person or entity. If the Nomination contains any material or elements that are not owned by the nominee, and/or which are subject to the rights of third parties, the nominee is responsible for obtaining any and all releases and consents necessary to permit the use and exhibition of the Nomination by Sponsor in the manner set forth in these Official Rules, including, without limitation, name and likeness permissions from any person who appears in or is identifiable in the Nomination. Sponsor reserves the right to request proof of these permissions in a form acceptable to Sponsor from any nominee at any time. Failure to provide such proof may, if requested, render Nomination null and void. By submitting a Nomination, nominee warrants and represents that she and any persons appearing or who are identifiable in the Nomination consent to the Nomination and use of the Nomination in the Program and to its use as otherwise set forth herein.

By accepting a Nomination, nominee acknowledges and agrees that Sponsor may obtain many Nominations in connection with this Program and/or other Programs staged and/or promoted by the Sponsor, and that such Nominations may be similar or identical in theme, idea, format or other respects to other Nominations submitted in connection with this Program and/or other Programs sponsored by the Sponsor or submitted for other reasons or other materials developed by the Sponsor. Nominee waives any and all claims nominee may have had, may have, and/or may have in the future, that any Nomination and/or other works accepted, reviewed and/or used by the nominee may be similar to his/her Nomination, or that any compensation is due to nominee in connection with such Nomination or other works used by Sponsor.


Limit: There is no limit as to the number of Nominations submitted per nominator, however, each Nomination must be for a different nominee and each Nomination must be substantially different from any other Nomination submitted by such nominator, as determined by Sponsor in its sole discretion.


WINNER DETERMINATION

Winners will be determined by the following process.


a. Semi-Finalist Judging Phase: On or about June 29, 2019 first a panel of qualified judges as determined by Sponsor in its sole discretion will score all eligible Nominations based on the Judging Criteria listed below. The top ten (10) scored Nominations will be deemed a Semi-Finalist (“Semi-Finalist”). In the event of a tie, the tied Nominations will be rescored with the highest rescored Nomination deemed a potential Semi-Finalist.

Sponsor reserves the right to choose fewer than ten (10) Semi-Finalists if, in its sole discretion, it does not receive a sufficient number of eligible and qualified nominations.

Judging Criteria:

50% - the nominees’ ability to address the Program theme

40% - the ability to portray nominees’ personality and success in the digital technology field

10% - first-to-market technology for the beauty industry


b. Finalist Judging Phase: On or about July 10, 2019, a panel of qualified judges as determined by Sponsor in its sole discretion will judge the Semi-Finalist Nominations based on the criteria listed above. Each Judge will vote for their top three (3) candidates. The three (3) Nominations with the most votes will be deemed the potential Winners. In the event of a tie, the Nomination with the highest votes in “ability to address the Program theme” will be deemed a potential Winner.


WINNER NOTIFICATION: Potential Winners will be notified by email or phone on or about August 1, 2019 using the contact information provided on the Nomination form. The potential winners will be required to sign and return an Affidavit of Eligibility and Release and where not prohibited a Publicity Release, including agreement for Sponsor to perform a background check, which must be received by Sponsor within seven (7) days of the date notice or attempted notice is sent, in order to claim her prize. The potential winners will be confirmed upon Sponsor’s satisfaction with and approval of the results of the background check. If a potential winner cannot be contacted, fails to execute and return the Affidavit of Eligibility and Release and Publicity Release or provide any other requested information within the required time period (as applicable), does not comply with these Official Rules, or notification is returned as undeliverable, potential winner forfeits the prize. If a potential winner is disqualified for any reason, the applicable prize may be awarded to a runner-up, if any, in Sponsor’s sole discretion.


PRIZING: The three (3) Winners will each receive a $25,000 grant and a trip to New York City, New York for a celebration event (timing of event to be determined) and to meet the judges and L’Oreal leadership. Trip package includes round trip, coach-class air transportation for winner from a major airport near winner’s home (determined by Sponsor in its sole discretion) to New York City, New York; and one (1) night hotel stay at a hotel determined by Sponsor in its sole discretion (single room, single occupancy) and ground transportation to and from the hotel and New York City area airport and transportation to the event location(s). Winners must travel on the dates determined by Sponsor in its sole discretion or travel prize will be forfeited. Winners are obligated to work with Sponsor’s travel agent to book trip immediately upon winner confirmation. Travel and accommodations are subject to availability. Travel must be round trip. Sponsor will determine airline and flight itinerary in its sole discretion. No refund or compensation will be made in the event of the cancellation or delay of any flight. Travel is subject to the terms and conditions set forth in these Official Rules, and those set forth by the Sponsor’s airline carrier of choice as detailed in the passenger ticket contract. All expenses and incidental travel costs not expressly stated in the package description above, including but not limited to, ground transportation, meals, incidentals, gratuities, passenger tariffs or duties, airline fees, surcharges, airport fees, service charges or facility charges, personal charges at lodging, security fees, taxes or other expenses are the responsibility solely of winner. Travel restrictions, conditions and limitations may apply. If in the judgment of Sponsor air travel is not required due to winner’s proximity to prize location, ground transportation will be substituted for round trip air travel at Sponsor’s sole discretion. Sponsor will not replace any lost, mutilated, or stolen tickets, travel vouchers or certificates. Approximate Retail Value (“ARV”): up to $27,500 USD. Actual value may vary based on airfare fluctuations, currency rate fluctuations, and distance between departure and destination. Winner will not receive difference between actual and approximate retail value. Prize is non-transferable and no substitution will be made except as provided herein at the Sponsor’s sole discretion. Sponsor reserves the right to substitute the prize (or a component thereof) for one of equal or greater value if the designated prize should become unavailable for any reason. Winner is responsible for all taxes and fees associated with prize receipt and/or use specified herein as being provided, including transportation, security fees, luggage fees, meals, souvenirs, upgraded room accommodations, miscellaneous hotel expenses, gratuities and other expenses not explicitly included in the Prize package are the sole responsibility of the winners.


OWNERSHIP OF ENTRIES: Acceptance of nomination constitutes nominee’s consent to give Sponsor a royalty-free, irrevocable, perpetual, non-exclusive license to use, reproduce, modify, publish, create derivative works from, and display such nominations in whole or in part, on a worldwide basis, and to incorporate it into other works, in any form, media or technology now known or later developed, including for promotional or marketing purposes. If requested, nominee will sign any documentation that may be required for Sponsor or its designees to make use of the non-exclusive rights nominee is granting to use the nomination Released Parties (as defined below) are not responsible for lost, late, stolen, damaged, incomplete, invalid, un-intelligible, garbled, delayed or misdirected Entries; all of which will be void.


MISCELLANEOUS: Released Parties are not responsible for lost, late, incomplete, damaged, inaccurate, stolen, delayed, misdirected, undelivered, or garbled Entries or for lost, interrupted or unavailable network, server, Internet Service Provider (ISP), website, or other connections, availability or accessibility or miscommunications or failed computer, satellite, telephone or cable transmissions, lines, or technical failure or jumbled, scrambled, delayed, or misdirected transmissions or computer hardware or software malfunctions, failures or difficulties, or other errors or difficulties of any kind whether human, mechanical, electronic, computer, network, typographical, printing or otherwise relating to or in connection with the Program, including, without limitation, errors or difficulties which may occur in connection with the administration of the Program, the processing or judging of Entries, the announcement of the prize, the incorrect uploading of the photo or in any Program-related materials. Released Parties are also not responsible for any incorrect or inaccurate information, whether caused by site users, tampering, hacking, or by any equipment or programming associated with or utilized in the Program. Released Parties are not responsible for injury or damage to any person's computer related to or resulting from participating in this Program or downloading materials from or use of the website. Persons who tamper with or abuse any aspect of the Program or website, who act in an unsportsmanlike or disruptive manner or who are in violation of these Official Rules, as solely determined by Sponsor, will be disqualified and all associated Nominations will be void. Should any portion of the Program be, in Sponsor’s sole opinion, compromised by virus, worms, bugs, non-authorized human intervention or other causes which, in the sole opinion of the Sponsor, corrupt or impair the administration, security, fairness or proper play, or Nomination of Nominations, Sponsor reserves the right at its sole discretion to suspend, modify or terminate the Program and, if terminated, at its discretion, select the potential finalist[s] from all eligible, non-suspect Nominations received prior to action taken using the judging procedure outlined above. Submissions or for any technical problems, malfunctions of computer systems, servers, providers, hardware/software, lost or unavailable network connections or failed, incomplete, garbled or delayed computer transmission or any combination thereof. Released Parties are not responsible for any unauthorized third party use of any Submission. CAUTION: ANY ATTEMPT TO DELIBERATELY DAMAGE THE WEBSITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE PROGRAM MAY BE IN VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES AND OTHER REMEDIES (INCLUDING ATTORNEYS’ FEES) FROM ANY SUCH INDIVIDUAL TO THE FULLEST EXTENT OF THE LAW, INCLUDING CRIMINAL PROSECUTION.


ARBITRATION: Except where prohibited by law, as a condition of participating in this Promotion, participant agrees that (1) any and all disputes and causes of action arising out of or connected with this Promotion, or any prizes awarded, shall be resolved individually, without resort to any form of class action, and exclusively by final and binding arbitration under the rules of the American Arbitration Association and held at the AAA regional office nearest the participant; (2) the Federal Arbitration Act shall govern the interpretation, enforcement and all proceedings at such arbitration; and (3) judgment upon such arbitration award may be entered in any court having jurisdiction. Under no circumstances will participant be permitted to obtain awards for, and participant hereby waives all rights to claim, punitive, incidental or consequential damages, or any other damages, including attorneys' fees, other than participant's actual out-of-pocket expenses (i.e., costs associated with participating in this Promotion), and participant further waives all rights to have damages multiplied or increased.


GENERAL CONDITIONS: By participating, each nominator (and nominee, if not same) agrees: (a) to abide by these Official Rules and decisions of Sponsor and judges, which shall be final and binding in all respects relating to this Program; (b) to release, discharge and hold harmless Sponsor, its respective parent, affiliates, subsidiaries, and advertising and Program agencies, and the respective officers, directors, shareholders, employees, agents and representatives of the forgoing (collectively, “Released Parties”) from any and all injuries, liability, losses and damages of any kind to persons, including death, or property resulting, in whole or in part, directly or indirectly, from nominator’s and/or nominee’s participation in the Program or any Program-related activity or the acceptance, possession, use or misuse of any awarded prize (including any travel or activity related thereto.


PUBLICITY: Nominees and winners agree to the use of her name, city or state, photograph, image and/or likeness for programming, advertising, publicity and promotional purposes in any and all media, now or hereafter known, worldwide and on the Internet, and in perpetuity by Sponsor and its designees, without limitation or compensation (unless prohibited by law) or additional consents from nominator or any third party and without prior notice, approval or inspection, and to execute specific consent to such use if asked to do so. By participating, nominator and nominee also agrees not to release any publicity or other materials on their own or through someone else regarding their participation in the Program without the prior consent of the Sponsor, which it may withhold in its sole discretion.


REQUEST FOR FINALIST’S NAMES: For the names of the winning nominees (available after July 31, 2019) send a self-addressed, stamped, envelope to L’Oréal Next Generation Awards Program Finalists, 10 Hudson Yards, New York, NY 10001, Attn: CMO Department, for receipt no later than January 31, 2020.
